The Show Miami reserves the right to refuse to accept any registration.
2. Your registration is for your personal use only. You cannot sell or transfer it to others.
3. The Show Miami can change the event's format, content, location, timing, participants, or any other details at any time without being responsible for it. They can also cancel any registration after it has been confirmed without any liability.
4. Your registration for the Event is final and cannot be canceled. Any registration fees paid are non-refundable.
5. The Show Miami can cancel or change the Event date at any time for any reason. If the event date changes to another date within a year or is canceled but expected to happen in the next year, your registration will remain valid for the new date, and no refunds will be given. If the Event is fully canceled and not expected to happen next year, your registration will no longer be valid, and you can choose to receive a refund or credit for your registration fees. Service charges are non-refundable. Any personal arrangements, such as travel and accommodation, are your responsibility, and The Show Miami is not liable for those costs. This paragraph outlines your only remedy for cancellation or date changes, and The Show Miami is not responsible for any additional liabilities.
6. Our events are mainly for business professionals, but the public can also attend. However, some parts of our events may not be suitable for children under sixteen (16), like executive workshops. The Show Miami can limit access to these areas if needed.
7. The Show Miami can refuse entry or remove anyone from the Event at its discretion, especially anyone not following the rules or deemed a security risk or nuisance. You agree to follow all instructions from The Show Miami, venue owners, security, and management at the Event.
8. Unauthorized filming, live-streaming, sound recording, and photography at the Event is not allowed. You agree to: (a) give any recorded material from these activities to The Show Miami or destroy it if requested, (b) grant all copyright and intellectual property rights of such materials to The Show Miami immediately, and (c) protect The Show Miami and its staff from any claims related to these activities. You must get written permission from The Show Miami for any filming, livestreaming, sound recording, or photography at the Event.
9. By attending the Event, you agree to being filmed, recorded, and photographed, which may include your image (the "Content"). You understand that The Show Miami owns all rights to this Content and give up any claims related to it. The Show Miami can use the Content globally for promotional purposes without paying you.
10. The personal information you share with The Show Miami will be stored in our database and may be shared with other parts of The Show Miami and selected international third parties for promotional purposes, if we have the right permission. Your information may also be shared with government agencies as required by law. At some Events, exhibitors and sponsors may use lead capture tools or scanners. If you allow your badge to be scanned by third parties at the Event, we may share your information with them. Additionally, you may need to provide your personal information to enter certain areas sponsored or managed by others. We do not control how these third parties use your information, and we are not responsible for it as allowed by law.
11. You take all risks related to your participation in the Event. The Show Miami does not guarantee anything about the Event, including: (a) whether any exhibitor, sponsor, or attendee will be present, (b) the number of exhibitors, sponsors, or attendees, and (c) any benefits or results you may gain from attending. All promises and guarantees not specifically stated here or during the registration process are not included. The Show Miami and its employees are not responsible for any loss, injury, illness, or damage you may experience related to the Event, including any harm to people, property, theft, loss of profits, or any economic loss. Additionally, The Show Miami is not liable for any products shown or sold by exhibitors or sponsors at the Event. These limitations apply as allowed by law.
12. The Show Miami's rights and remedies are additional and not limited to legal rights. They can only be waived in writing. A delay or failure to use any right or remedy does not mean that right or remedy is waived.
13. The Show Miami may change these terms and conditions at any time without notice. You will follow the terms in place when the Event happens.
14. If there is a difference between the English version and other language versions of these terms and conditions, the English version will take priority.
These terms apply to registrations and attendance at events organized by The Show Miami (referred to as "we"). As a visitor (referred to as "you"), please read these terms carefully; they contain important information. By registering or attending an event, you agree to these terms.
Your registration, whether by you or someone else, is an offer to The Show Miami to attend the event under these terms. All registrations must be accepted by The Show Miami. If you register before the Event, we will confirm your registration in writing, like by email, or if you don't receive confirmation within fourteen (14) days, it will be considered confirmed unless we tell you otherwise. If you register at the Event, your entrance to the Event will act as confirmation.

EXHIBITORS TERMS & CONDITIONS
To participate in The Show Miami, EXHIBITOR (further known also as Participant) must accept these Terms & Conditions, along with deposits/payments in full. These Terms & Conditions constitute the Exhibit Contract. Under the Contract, the Participant will receive, in exchange for the payment, exhibit space inside the Venue, which will be allocated at the discretion of The Show Miami.
Upon acceptance, the Contract is binding and non-cancellable by either party except as specified herein. Once accepted, this Contract is for the Show specified herein, including the move-in and move-out periods, and does not extend to the Participant any rights of any kind with respect to any future Shows by “THE SHOW MIAMI”. Interpretation of and compliance with the Terms and Conditions of the “THE SHOW MIAMI”, including, but not limited to, admission policy, Participant conduct and decorum, lighting, signage, and other matters affecting the Show and its Participant shall be determined in the sole discretion of “THE SHOW MIAMI”.
“THE SHOW MIAMI” shall have the right to decline access to a Participant or to remove the same from the Show for any material breach of the exhibit Contract or failure to comply with the Show's Terms & Conditions, which, in the sole discretion of “THE SHOW MIAMI”, it deems appropriate. Participant waives and releases any claim, and agrees not to claim “THE SHOW MIAMI”, its employees, officers, shareholders, agents, or legal representatives relating to:(a) its use of the leased space or any discretionary decision by them under the governing Terms & Conditions, (b) any discretionary decision on the part of “THE SHOW MIAMI” relating to the Show or the Participant, (c) the Participant's use of the leased space or the general Contract of the Show,(d) injury to the Participant, its employees, agents, guests, or other third parties,(e) cancellation, termination, or interruption of the Show for any reason outside the control of “THE SHOW MIAMI”. “THE SHOW MIAMI” reserves the right to record Participant’s event space via photography, film, digital, and /or any other method and to use such “recording” in any manner it deems appropriate, includingany advertising media. All References to “THE SHOW MIAMI” to include Consule Tilps LLC., M2 Miami Beach Venue, and their respective directors, officers, employees, agents and subcontractors as though spelled out in the entirety. The Show Miami is an event show open to professional retail buyers, social influencers, press, and the general public. The Show Miami will be held on December 3, 2025, with open to the businesses and public from 10 am to 5 pm. Showtimes are subject to change. Conduct of Show: (a) Participant agrees to abide by all Terms & Conditions adopted by “THE SHOW MIAMI” and as may be adopted from time to time and agrees that “THE SHOW MIAMI” shall have the final decision in adopting any Terms & Conditions deemed necessary before, during, and after the Show. (b)Participant agrees to abide by the Venue’s Operating Policies and Procedures as may be adopted by The Show Miami from time to time. (c) Participant shall not use the Venue in any manner that could void the insurance or increase the rate of insurance on the facility, or use the facility in any manner that causes the center or any equipment contained therein to be damaged, marred, or defaced, or to be altered in any way. (d) Participant agrees to obtain, at its own expense, any licenses or permits which are required from any governmental bodies or third parties, and to comply with all local, State, and Federal ordinances, laws, and administrative regulations of or for the operation of its trade or business during The Show and to pay all sales and other taxes that may be levied against it as a result of the operations of its trade or business during the Show. (e) Participant agrees to abide by all nonsmoking regulations in effect at the Venue. (f) Exhibitors or Participants shall not display or offer for sale any licensed or branded merchandise without appropriate permission, nor violate any copyright or trademark. All merchandise must be authentic and properly represented by the Exhibitor as to their origin, and date or period of manufacture or creation. (g) All merchandise must be displayed in showcases provided or approved by “THE SHOW MIAMI”. Merchandise must be displayed in a neat and professional display and manner. (h) Assigned space is only for the display of the product line, which “THE SHOW MIAMI” believes to be for the benefit of the Show. Any substantial change in the type or character of the Exhibitor’s product line requires prior written approval of “THE SHOW MIAMI”. (i) Show management reserves the right to disapprove the exhibit of any product or service which it believes is not related to the fashion industry, or other lifestyle industry, or otherwise does not comply with these terms and conditions, or which is in violation of the rights of a third party, or which is of dubious authenticity, age, artistry, or quality, or which interferes with the nature or reputation of the Show. (j) Only one company or organization may showcase its products or services in a single event space. (k) The Participant shall conduct and operate his showcase so as not to annoy, anger, or interfere with the rights of other Participants and visitors. Any practice resulting in complaints from any other Participants or any visitor, which in the sole opinion of “THE SHOW MIAMI,” interferes with the rights of others or exposes them to annoyance or danger is prohibited by “THE SHOW MIAMI”. Any display that obstructs aisles or prevents ready access to nearby Participants’ event spaces shall be suspended by “THE SHOW MIAMI” until the problem is remedied by the Participant to the satisfaction of “THE SHOW MIAMI”. No showcases will be allowed to extend beyond the event space allotted to the Participant. This includes participants’ personnel, whose selling space is limited to the event space boundaries. (l) Participant agrees that his showcase shall be admitted and shall remain from day to day solely in strict compliance with the Terms and Conditions herein as laid down. Event Space Placement: “THE SHOW MIAMI” does not guarantee specific event space placement or specific Show layouts or configurations. “THE SHOW MIAMI” reserves the right to make changes in event space assignments and/or Show configurations at any time. All event space placements and show design layouts are at the sole discretion of “THE SHOW MIAMI”.Display: The Participant agrees to occupy the contracted event space during the full term of the Show, and to showcase only the products and merchandise described in this Contract. “THE SHOW MIAMI” reserves the right, in its sole discretion, to (1) determine the eligibility of the Participant and showcases for the Show; (2) to prohibit any showcase or part thereof which, in its sole opinion, violates the Agreement described herein or is, in any other way, not suitable to or in keeping with the character and spirit of the Show; (3) to reject, eject, prohibit or does any showcase in whole or in part, including removal of Participant or his representatives, upon the good faith determination of “THE SHOW MIAMI” that showcase or conduct of Participant or his representatives violates this Contract or Show Terms & Conditions as may be amended from time to time; (4) to refuse to permit a Participant who violates this Contract to participate in one or more future “THE SHOW MIAMI” Shows by reason thereof; (5) to change the floor plan (including but not limited to aisle spaces) or event space size, without notice, to comply with fire, safety, and accessibility regulations, or to provide, in its exclusive judgment, a safer, more satisfactory, attractive and successful Show. “THE SHOW MIAMI” management has the absolute discretion to exercise these rights. Move-In & Move-Out/Set-Up: All arriving goods and event space materials will be received at the receiving areas designated by “THE SHOW MIAMI” or its Show contractor. All incoming freight and exhibits must be plainly marked, and all charges prepaid. Participants shall be allowed to move in and/or set up exhibits on December 3, 2025, beginning at 7 am. Participants shall be allowed to dismantle and move out goods and event space materials same day, right after 5 pm, and no later than 7 pm. In case of any delays after the set deadlines, the participant will be responsible for any extra charges. The event space by Participant must be ready for display by December 3, 2025, at 10 am and no later. Move-in, move-out, and set-up times are subject to change by “THE SHOW MIAMI,” without further notice. Under NO circumstances will construction, arranging or setup of event space be permitted during official hours of the Show. All labor and expense for trucking, handling, move-in, and move-out of the exhibit from The Show Miami will be paid by the Participant. Participants will get from The Show Miami the list of authorized service providers who will need to be used in case of any work that requires specific services that cannot be done by the Participant. Participant must bring their own fixtures and decorations, and only their badge-holding helpers may conduct business on the Show floor during the move-in period. The same case with bringing samples in and out of the event space. Badged helpers shall be solely restricted to the set-up of the Participant’s event space to which they are assigned and shall not conduct business of any kind on the Show floor during the move-in period. Badged helpers’ failure to abide by the restriction will result in their permanent removal from the Show for its entire duration without refund. Participants are strictly prohibited from dismantling displays before the official time the Show closes and ends. Failure to comply with this provision may result in a Participant being barred from future Shows, and the Participant will be fined $3,000 in case of violation of this provision. Participant must totally vacate the Venue by 7.00 p.m. on December 5, 2025. No exhibit and accompanying merchandise shall leave the venue until “THE SHOW MIAMI” has conducted a walk-through inspection of the Participant’s space for damage and all bills accruing against the Participant for any such damage or other outstanding charges accruing thereunder are fully paid, or credit is approved by “THE SHOW MIAMI”. In the event any Participant fails to remove his goods and event space materials in the allotted time, “THE SHOW MIAMI” reserves the right, at the Participant's expense, to ship the goods and event space materials through a carrier of the choosing of “THE SHOW MIAMI”, to place the same in storage warehouse subject to the Participants' disposition, or to make such other disposition of this property as it may deem desirable to “THE SHOW MIAMI” without any liability to “THE SHOW MIAMI”. Participant agrees that “THE SHOW MIAMI” shall have a first lien on such materials for payment of costs incurred by “THE SHOW MIAMI” for such removal and storage. Cancellation: This Contract may only be canceled by Participant if notice, in writing, is received by “THE SHOW MIAMI”. All deposits and payments received up to the date notice of cancellation is received are non-refundable. If notice of cancellation is received by “THE SHOW MIAMI” after October 1, 2025, the Participant is liable for full payment of his event space. Failure to appear at the Show does not release Participant from responsibility for payment of the full cost of the event space rented, or additional amounts due under this Contract. Upon cancellation, “THE SHOW MIAMI” retains the right to utilize, resell, or release the canceled event space for its own benefit. Default: In the event Participant fails to make payment as required or fails to comply in any respect with the terms of this Contract, including all Show Terms & Conditions, “THE SHOW MIAMI” may cancel this Contract without notice, and all rights of Participant hereunder shall cease and terminate. Any payments made hereunder by Participant shall be retained by “THE SHOW MIAMI,” and Participant shall be liable for full payment of its event space. In the event of a default under this Contract, “THE SHOW MIAMI” shall retain any payments made by Participant without limitation to the rights of “THE SHOW MIAMI” and/or its remedies against Participant for its breach of this Contract at law or in equity. In the event of a default during the conduct of the Show, “THE SHOW MIAMI” may direct Participant to remove its employees and agents, and all of its articles or merchandise and other personal property from the Show floor and/or the entire The Show Miami shall retain any payments made by Participant without limitation to the rights of “THE SHOW MIAMI” and/or its remedies at law or in equity. Event Space Representatives: Event Space representatives shall be restricted to Participant’s employees and their authorized representatives. Five (5) participants’ badges shall be furnished by “THE SHOW MIAMI” per event space. All badge identification provided by “THE SHOW MIAMI” shall be worn at all times during the Show and its move-in, move-out, and set-up periods. Only one Participating company shall be permitted per Contract and there is to be absolutely NO sharing of exhibit space. Contractor Services: If Participant decides not to use their own fixtures and decorations, then will need to work with one of the recommended suppliers by “THE SHOW MIAMI”. This will include any rental furniture, displays, equipment, and services, exhibit and material, receiving, handling, storage, move-in, move-out, set-up, and breakdown. Owned items, such as fixtures, etc., may be brought in only upon prior approval of “THE SHOW MIAMI”. A complete Participant’s Service Manual covering services for move-in, move-out, housing, and prices for shipping, warehousing, setting up, and dismantling of event space material will be furnished to the Participant in advance of the Show. Participant must use the contractor chosen by the Show Miami for all concessions, electrical, and other utility needs associated with the exhibit or Show. Right of Entry and Inspection: “THE SHOW MIAMI” or its designee shall retain the right and unfettered discretion at any time to enter the leased area occupied by Participant and to inspect any goods, displays, and other materials utilized or sold in the leased area to ensure compliance with this Contract and all applicable Terms & Conditions governing the Show. “THE SHOW MIAMI” shall have the absolute sole right at its discretion to require a Participant to correct or to remove from the Show any display or merchandise which does not comply with the Terms & Conditions of the Show or is of questionable authenticity.“THE SHOW MIAMI” reserves the right and discretion to terminate this Contract without refund and eject or cause to be ejected from the Show any objectionable Participant and/or showcase or merchandise that violates this Contract, any applicable Rules and Regulations of the Show, and all applicable local, State, and Federal laws, ordinances, and administrative regulations, and neither “THE SHOW MIAMI” nor any of its officers, directors, agents, or employees shall be liable to Exhibitor for any damages that may be sustained by Participant or others as a result of such termination and/or ejection. Fire Regulations: Participant is expected to be knowledgeable of and adhere to all Federal, State, and local laws and regulations while participating in the Show. “THE SHOW MIAMI” has no responsibility for Participants' compliance with applicable laws. Compliance with applicable laws is mandatory and is the sole responsibility of the Participant. All Participants, service contractors, and any other parties exhibiting or working in the Show Miami must comply with all applicable Federal, State, and local building and fire codes, and all exhibits must pass the Fire Department inspection before the opening date of the Show. Smoking inside the Show is prohibited. Aisle and fire exits must not be blocked by exhibits or merchandise. Insurance: The insurance policy will be provided by a first-class insurer and will cover liabilities specific to the event and local government. Indemnification: (a) All of the Participants' property at the Show shall be at the sole risk of the Participant. “THE SHOW MIAMI” and the Venue shall not be responsible for the merchandise or any part thereof, or other property situated at or about the Show space or building. Participant assumes all liability for any loss of any kind or character, including, but not limited to, theft or mysterious disappearance, damage or destruction of the merchandise or other propertyplaced or brought upon the Show space or building by Participant, or on the Participant's behalf, or for any loss or damage, by theft, destruction, disappearance or otherwise to Participant's merchandise, booth or personal property. The Participant accepts all risks associated with the use of the Show space and the Venue. The Participant releases and shall not make any claim ordemand or take any legal action whatsoever against “THE SHOW MIAMI” and/or the Venue and their respective directors, officers, employees, agents and subcontractors as though spelled out in the entirety. for any loss, damage or injury howsoever caused to the Participant, its officers, directors, employees, agents. (b) “THE SHOW MIAMI” and the Venue shall not be liable to Participant, their agents, employees, contractors, patrons, guests, licensees, invitees, or to any other person whatsoever, for any injury or damage to person or property arising out of any act or omission, whether intentional, negligent or otherwise, on the part of the Participant, their agents, employees, contractors, patrons, guests, licensees, invitees, or for any other injury or damage arising out of the use of the Show space, and Participant agrees to indemnify and hold “THE SHOW MIAMI” and the Venue harmless, including its officers, directors, employees and agents,relating to all claims, costs, actions, damages, losses, liabilities, and attorney's fees arising out of the foregoing, including any liability which could arise based upon a fraudulent or negligent misrepresentation by Participant regarding the authenticity, age, artist, manufacturer or quality of goods sold during the Show, violation of any local, State or Federal ordinance, law or administrative regulation by Participant during the course of the operation of its trade or business during the Show, and for any other mistakes or errors made by Participant. The provisions of this section titled "Indemnification" shall survive the termination of this Contract. Americans with Disabilities Act Requirements: Participant agrees to comply with applicable requirements of the Americans with Disabilities Act and its regulations and guidelines (collectively, the "ADA") and agrees to hold “THE SHOW MIAMI” harmless from and against all claims that may be brought against Participant based on Participant's noncompliance with ADA requirements. All Participant personnel who may need special assistance or auxiliary aids pursuant to the ADA should contact “THE SHOW MIAMI” as soon as possible. Care of the Venue Facilities: The M2 Miami Beach Venue prohibits any attachments or installation of materials of any kind in the walls, ceiling, columns, floors, or common areas of the Venue, inside or outdoors. The participant may not apply, paint, lacquer, use adhesives or other coatings, or nail or screw into any part of the building, including but not limited to its event space or building walls, ceilings, windows, columns, and floors. The Participant may not mark, damage, or otherwise deface any part of the building or property belonging to the Venue,“THE SHOW MIAMI,” or other Participants. Participant agrees to pay the costs of repair or replacement for any damage whatsoever to the Venue premises or equipment on the premises arising out of Participant's use of the premises or equipment pursuant to this Contract. At the conclusion of the Show, “THE SHOW MIAMI” will conduct a post-use inspection of the Participant’s event space and surrounding area to ascertain damage to the Venue resulting from the use of the Venue by Participant, which Participantor his representatives shall attend. “THE SHOW MIAMI” will notify Participant within a reasonable time of the extent of any damage and the cost of repair. The Participant further agrees to indemnify and hold “THE SHOW MIAMI” harmless from any claims, losses, or expenses resulting from its breach of this Contract. Force Majeure: If the premises in which the Show is to be conducted shall become, in the sole discretion of “THE SHOW MIAMI,” unfit for occupancy, or in the event of the holding of the Show or the performance of the Contract (of which these Terms & Conditions are a part) are substantially or materially interfered with by virtue of any cause or causes not reasonably within the control of “THE SHOW MIAMI”, this Contract and/or the event (or any part thereof), may be terminated by “THE SHOW MIAMI”. “THE SHOW MIAMI” shall not be responsible for delays, damage, loss, increased costs, or other unfavorable conditions arising by virtue of cause or causes not reasonably within the control of “THE SHOW MIAMI”. If “THE SHOW MIAMI” terminates this Contract and/or the event (or any part thereof) as aforesaid, then “THE SHOW MIAMI” may retain such part of a Participant’s rental as shall be required to recompense it for expenses incurred up to the time such contingency shall have occurred, and there shall be neither further liability on the part of either party nor responsibility by “THE SHOW MIAMI” for any loss of business, lost profits, damage or expense of whatever nature that the Participant may suffer. THE SHOW MIAMI may, at its’ option, change the show date/year and transfer participants’ funds to such changed date. For the purposes hereof, the phrase "cause or causes not reasonably within the control of “THE SHOW MIAMI" include, but are not limited to: fire, casualty, flood, epidemic, earthquake, explosion or accident, blockade, embargo, inclement weather, government restraints, orders of civil defense or military authorities, act of a public enemy or terrorism; riot or civil disturbance, strike, lockout boycott or other labor disturbance, inability to secure sufficient labor, technical, or other personnel failure; impairment or lack of adequate transportation facilities; inability to obtain; condemnation; requisition or commandeering of necessary supplies or equipment; local, State or Federal laws, ordinances, rules, orders, decrees or regulations, whether legislative, executive or judicial, and whether constitutional or unconstitutional; failure by The Show Miami; or Act of God. Amendments: “THE SHOW MIAMI” shall have full power to interpret and enforce all of the terms of this Contract, all Show Terms & Conditions, all Venue’s Terms & Conditions, and the power to make, from time to time, amendments and such further Terms & Conditions as it shall consider necessary for the proper conduct of the Show. Any matters not specifically covered by the preceding Terms & Conditions shall be subject solely to the decision of “THE SHOW MIAMI.” Exhibitor, for himself and his employees and representatives, agrees to abide by the foregoing terms, Terms & Conditions, and any amendments that may be put into effect by “THE SHOW MIAMI.” Governing Law & Jurisdiction: This Contract and all legal proceedings relating to its validity, interpretation, performance, and enforcement shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law rules. The parties hereby agree to submit themselves to the personal jurisdiction of the State courts of Miami-Dade County, Florida, which shall be the exclusive venue for any disputes relating to this Contract. Interpretation of Contract This Contract shall be interpreted and enforced without the aid of any canon, custom, or rule of law requiring construction against the draftsman in case of vagueness or ambiguity. Any ambiguity in this Contract should be interpreted in a manner that furthers the stated purpose of this Contract. Attorney's Fees: If any legal action or other proceeding is brought by “THE SHOW MIAMI” to enforce or interpret this Contract, or because of an alleged dispute, breach, default, or misrepresentation in connection with any provision of this Contract, “THE SHOW MIAMI”, if it prevails, shall be entitled to recover its reasonable attorneys' fees, court costs and all expenses, even if not taxable as court costs, (including, without limitation, all such fees, taxes, costs, and expenses incident to mediation, appellate, bankruptcy, receivership, and post-judgment proceedings), incurred in the action or proceeding, in addition to any other relief to which “THE SHOW MIAMI” may be entitled. No Waiver: Any remedy or right conferred upon “THE SHOW MIAMI” for Participant's breach of this Contract shall be in addition to and without prejudice to any other rights and remedies available to “THE SHOW MIAMI”. No failure or delay by “THE SHOW MIAMI” in exercising any claim, remedy, right, power, or privilege under this Contract shall operate as a waiver, nor shall any single or partial exercise of any claim, remedy, right, power, or privilege preclude any further exercise thereof or the exercise of any other claim, right, power or privilege arising hereunder or by operation of law. Furthermore, no waiver in any manner under this Contract by “THE SHOW MIAMI” shall be effective unless it is in writing and is signed by an officer or director of “THE SHOW MIAMI.” No Assignments or Subletting: No Participant shall assign, sublet, or apportion the whole or any part of the Contract or the space allotted to it. Time of the Essence: Time is of the essence in this Contract.
